Terms of Service

HoldSay is a one-time purchase, not a subscription. Your licence is perpetual and does not expire. Each device seat covers one Mac or one Windows PC; a licence key can include one, two or three seats in any mix of Macs and Windows PCs. You can try the complete app free for two days without entering card details. Updates are included. These terms explain seats, changing computers, refunds, and the consumer rights that apply regardless of what these terms say.

Who you buy from

Purchases are processed by Lemon Squeezy, which is our merchant of record. For your transaction, Lemon Squeezy is the seller. It takes payment, issues your invoice, and collects and remits any sales tax or VAT that applies where you live.

Lemon Squeezy’s terms and refund policy govern the payment transaction. These terms govern your use of HoldSay.

HOLDSAY LTD is not registered for UK VAT, so we do not charge or show UK VAT separately.

Your licence

When you buy HoldSay, you receive a perpetual, non-exclusive, non-transferable licence to use the app on the number of device seats you paid for. You are buying the right to use the software, not ownership of the software itself. All intellectual property rights in HoldSay remain ours.

One seat activates one Mac or one Windows PC. A licence key can carry one, two or three seats, in any combination of Macs and Windows PCs. For example, a two-seat key may be used on two Macs, two Windows PCs, or one of each.

Your licence does not expire and has no recurring subscription charge.

What you must not do

You must not share, sell, resell, or transfer your licence key. You must not defeat, bypass, or tamper with the licence check, or modify the app to run without a valid licence.

You must not reverse engineer, decompile, or disassemble the app except where the law expressly gives you that right.

If you use HoldSay to record other people, it is your responsibility to make sure you can lawfully do so. Recording laws vary widely. In some places, every participant must agree before a recording is made. We provide the tool; lawful use is yours to ensure.

Activating and changing computers

HoldSay checks your licence with our server when you activate it and periodically afterwards. This keeps the app within the number of seats you bought.

The licence check does not send us your audio, recordings, or transcripts. Our Privacy Policy explains what information it does send.

You cannot release a seat from inside the app. If you replace or sell a computer, email support@holdsay.com and a member of our team will handle your request as quickly as we can. We use this process because it makes licence sharing much harder.

Your free trial

Every installation includes a free two-day trial of the complete app. No payment details are required.

The trial is tied to the device. Reinstalling HoldSay does not start a new trial. Working around the trial check to obtain repeated trials is a breach of these terms.

Try it first. The complete app is free for two days with no card required, so you can see how it fits your work before spending anything.

Price and cancelling an order

The price shown at checkout is the price you pay. Where supported, it is shown in your local currency.

Promotional prices, including early-bird prices, are available for limited periods and may end without notice.

UK and EU consumers normally have 14 days to change their mind about an online purchase. HoldSay is digital content delivered immediately. By buying it, you ask us to make the software available straight away and accept that, once we do, you lose the 14-day right to cancel.

If you would rather keep that right, do not activate the licence. Write to us instead.

Refunds

If you cannot get HoldSay running on a computer that meets our requirements, email support@holdsay.com within 14 days of purchase and we will refund you in full. Lemon Squeezy processes refunds back to the original payment method.

Because you can use the complete app free for two days before buying, we may decline a refund if the trial would have shown the problem. We may also decline a refund where the licence has been activated on more computers than the seats bought, or where we have previously refunded the same person.

If a payment is reversed or charged back, the licence attached to that payment will stop working.

These refund terms do not affect your statutory rights.

Your consumer rights

If you buy HoldSay as a consumer, the Consumer Rights Act 2015 gives you rights that these terms cannot remove. Digital content must be of satisfactory quality, fit for purpose, and as described.

If it is not, you may be entitled to a repair or replacement. If that is not possible or does not resolve the problem, you may be entitled to a price reduction or refund.

Other than those rights, HoldSay is supplied as it is. Speech recognition is not perfect. Read transcripts before relying on them, and do not use HoldSay as the only record of anything that matters.

Updates and supported systems

HoldSay checks for updates and installs them in the background. Updates are included for as long as we publish them for your platform.

Features may change as the app develops. If we remove something significant, we will say so in the release notes.

As operating systems age, we may stop supporting older versions. Your licence covers the versions released while it is valid, but it does not require us to run an online service forever.

If we decide to wind down the licence service, we intend to make reasonable efforts to provide a version of the app that does not rely on it, so that existing licences can continue to work.

Your recordings and transcripts

Anything you dictate, record, or transcribe using HoldSay belongs to you.

We do not access your recordings or transcripts, and we have no technical means of doing so. Your content is stored in a folder on your computer, not with us.

This also means that backing it up is your responsibility. Keep copies of any recordings or transcripts you need to retain.

Limits on our liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or anything else that the law does not allow us to limit.

Subject to that, and as far as the law allows, we are not liable for lost data, lost profit, or business losses. Our total liability for all claims relating to HoldSay or these terms is limited to the amount you paid for the licence.

We are not liable for any failure or unavailability caused by events or third-party services outside our reasonable control, including services required for HoldSay’s initial setup.

Ending the licence

You may stop using HoldSay at any time.

We may suspend or end your licence immediately, without notice, if you seriously breach these terms, abuse our systems, attempt to defeat or interfere with the licence check, or make a fraudulent payment or reverse a payment without a valid reason.

If you believe we suspended your licence in error, you can contact us at support@holdsay.com. We will review the circumstances and investigate the issue.

If you buy for a business

The consumer protections described above apply because the law gives them to consumers. They do not apply to business purchases.

If you buy HoldSay for a business, all terms implied by statute are excluded as far as the law allows. We are not liable for indirect or consequential loss, or for loss of profit, business, goodwill, or data.

Our total liability for all claims together is limited to the amount paid for the licence in question.

If someone brings a claim against us because of how your business used HoldSay, your business must cover our reasonable costs and any damages we have to pay. This does not apply where the claim was caused by our own breach.

Changes and other terms

We may update these terms, for example because the law changes or because the app changes. The current version will always be on this page, with its date at the top. We will not apply a change retrospectively where doing so would be unfair.

If a court finds part of these terms unenforceable, the rest will still apply.

You may not transfer your licence or your rights under these terms. We may transfer these terms to a company that takes over our business, provided your rights are not reduced.

Only you and we have rights under this agreement.

Neither you nor we are responsible for failing to meet these terms because of something genuinely outside the relevant party’s control.

HoldSay may not be used by anyone subject to UK, EU, or US sanctions, or in a country covered by those sanctions.

Law and courts

These terms are governed by the law of England and Wales. The courts of England and Wales have jurisdiction over disputes relating to them.

If you are a consumer living elsewhere in the UK or in the EU, you keep the protection of mandatory laws in your own country. You may also bring proceedings in your own country where the law allows.
